MEETING   MINUTES

BOARD   OF   DIRECTORS   MEETING 

December 16, 2024

6:00PM   Zoom

The Board of Directors of the Woody Creek Metropolitan District conducted a special meeting of the Board of Directors on December 16, 2024 at 6 pm. The following meeting minutes reflect the primary discussion points and any formal actions taken by the Board of Directors.

The meeting notice and agenda were posted at least 24 hours in advance at the designated location within the District boundaries and on the website.

Members of the Board of Directors in attendance included Don McAllister, Curtis Wackerle, Brad Matthews thereby a quorum was in attendance; Patty Hamilton attended a portion of the meeting. Also present was Krystin Bergstresser, Grant Gladson, Colin Mielke & Paul Polito.

Meeting Agenda & Action Items:

1. Call to Order/Roll Call. 
2. Executive Session with Colin Mielke. The Board, upon a two-thirds vote of the quorum present, may call an executive session for the purpose of receiving legal advice and to develop negotiating positions and strategies pursuant to § 24-6-402(4)(b) & (e), C.R.S. with regard to a lawsuit filed by WCT Building, LLC

Donny motioned to begin executive session with attorneys Colin Mielke & Paul Polito, Curtis seconded, the board unanimously approved. 

Donny motioned to proceed with motion to dismiss the complaint filed by WCT Building, LLC, Curtis seconded, the board unanimously approved. 

Curtis motioned to end the executive session, Sonny seconded, the board unanimously approved.

1. Donny, Curtis, & Brad were in attendance, and a quorum was present.  6:02 pm
2. Executive session to discuss the complaint filed on December 5, 2024 by the WCT Building, LLC. 
3. Meeting adjourned. 7:21 pm
